On Osprey Partners

Is Osprey a fund?

Answer: No. Osprey is an independent advisor/consultant to company owners who are looking for investors in their companies, for buyers of their companies, or for companies to buy. We do, however, consider investing our own money into transactions with the agreement of our clients.

If I am a company owner looking for an investor, and Osprey introduces such an investor to me, who pays Osprey?

Answer: Osprey works under contract with the company owner and Osprey is paid by the company owner and no one else. The canons of professional conduct require that Osprey act in the best interest of the company owner and seek to get the highest price for shares that are sold to an investor. (This is why the valuation work is so important to the process of finance raising.)

If Osprey is already working under contract for an investor, then Osprey cannot accept to work on behalf of the company owner, as this would be a conflict of interest. If Osprey contacts a company owner on behalf of an investor, Osprey will disclose that it is working on behalf of the investor, who will then pay Osprey. In such a case, Osprey will seek to achieve the lowest price for shares which the investor buys.

Why and which would be the advantages of working with Osprey, rather than with “big name” consulting firms?

Answer: We are discreet and intimately client-oriented; we use many of the same techniques in the course of our work, and in fact the Principals of Osprey worked in “big name” companies. Being a small business ourselves we are entrepreneurial-minded and understand our clients’ issues deeply.
